Terms of Service

1. Agreement to Terms

By accessing or using IOGRU's services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use our services. These terms apply to all users of the platform, including facility operators, staff members, and administrators.

2. Description of Service

IOGRU provides cloud-based cultivation automation software including:

• Climate control and VPD management
• Irrigation and fertigation automation
• Lighting management and scheduling
• Environmental monitoring and alerting
• Analytics, reporting, and compliance tools
• AI-powered predictive intelligence

Hardware components (sensors, controllers) are purchased or leased separately under additional terms.

3. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the security of your credentials and for all activities under your account. Notify us immediately of any unauthorized access.

4. Acceptable Use

You agree not to:

• Use the service for any illegal purpose or in violation of applicable laws
• Attempt to reverse engineer, decompile, or extract source code
• Interfere with or disrupt the platform or servers
• Share account credentials or allow unauthorized access
• Use the service to develop competing products
• Exceed API rate limits or abuse automated access

5. Payment Terms

Subscription fees are billed monthly or annually as selected at signup. All fees are in US dollars and non-refundable except as required by law. We reserve the right to modify pricing with 30 days written notice. Failure to pay may result in service suspension or termination.

6. Service Availability

We target 99.9% uptime for the platform but do not guarantee uninterrupted service. Scheduled maintenance windows will be communicated in advance. We are not liable for service interruptions caused by factors beyond our control (internet outages, third-party services, force majeure events).

7. Limitation of Liability

IOGRU provides automation tools and recommendations but does not guarantee specific cultivation outcomes. Environmental conditions, equipment performance, and cultivation practices vary by facility. We are not liable for crop losses, equipment failures, or consequential damages exceeding your subscription fees for the preceding 12 months.

8. Intellectual Property

IOGRU and its licensors retain all rights to the platform, software, and documentation. You retain ownership of your cultivation data. By using the service, you grant us a limited license to use anonymized, aggregated data to improve our AI models and generate industry benchmarks.

9. Termination

Either party may terminate with 30 days written notice. You may export your data for up to 30 days following termination. We may terminate immediately for material breach of these terms. Upon termination, your access to the platform ceases and we may delete your data after the export period.

10. Dispute Resolution

These terms are governed by the laws of New York State. Any disputes shall be resolved through binding arbitration in New York City under AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in court for intellectual property violations.

11. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
